Terms of Use of Website

1. Awareness and agreement:

The Taipei Exchange of the Republic of China (hereinafter referred to as “TPEx”) provides services to the trading information store (hereinafter referred to as “the online store”) in accordance with the Terms of Use of the Website (hereinafter referred to as “the Terms”). When you use the services of the online store (including but not limited to membership registration, subscription, payment, or receiving of products); at the earliest time any service occurs, you are deemed to have read, understood and agreed to accept all contents of the Terms.

2. Links to third-party websites:
   The online store provides services related to links to institutions and information, aiming to enable you to quickly access relevant investment and research information. You may be linked to websites operated by other institutions; they are responsible for the websites they operate; thus, such websites are not within the scope of TPEx’s control and responsibility. You shall evaluate and take responsibility for using such websites. TPEx will not be liable for any damage or profits lost as a result of the links used. TPEx is the legally registered owner of the online store’s website, which has been verified and granted a website security label by Taiwan-Ca Inc.
3. Account ID and password:
   1. You shall be of adult age before registering as a member in the online store and using related membership services, including but not limited to subscribing to products, querying orders or subscription records and downloading products subscribed to.
   2. You shall ensure that your account information (i.e., the information you provide when registering as a member of the online store and the information updated after registration) remains up-to-date, complete, correct and authentic.
   3. After you complete the membership registration process and activate your account, TPEx still reserves the right to accept or reject your registration.
   4. TPEx may manage or delete your account ID or password due to policy changes, amendments to law, or applications you submitted and notify you by email. If you do not express an objection in a method specified by TPEx within three business days after you are notified by TPEx, it will be deemed that you agree to handle it in a method specified by TPEx.
   5. You shall properly keep and maintain the information and account ID and password created in the online store. All actions taken after logging on to the online store with your account ID and password will be deemed to be the actions taken by the account and password holder. If someone else uses your account ID and password, you shall immediately notify TPEx and cooperate with TPEx in taking relevant remedial measures and shall also be responsible for any damage caused to TPEx.
4. System interruption or failure:
   The online store may occasionally experience interruptions or failures, which may cause inconvenience to you, such as interruption of data transmission; delays, omissions or errors of data transmitted; or other losses. You are advised to take your own protective measures when using the online store. TPEx will not be liable for any damage caused to you when you are using (or unable to use) the online store in accordance with the online subscription terms.
5. Service changes:
   TPEx may modify, suspend, or terminate part or all of the services provided by the online store at any time without any liability for damages. TPEx may notify you in appropriate ways, including but not limited to posting on the online store's webpage, email, or other means. If you are notified, you will be deemed to have agreed to the service changes effected by TPEx.
6. Software or information downloading:
   It is forbidden to download any software or data on the online store through any means (including but not limited to automated devices, scripts, automated programs, spiders, web crawlers or extraction) other than the methods approved by TPEx or with the consent of TPEx. TPEx shall not be liable for any software or information you download from the online store or other websites linked to the online store. You shall carefully consider and judge the suitability, validity, correctness and completeness of the above-mentioned information and whether or not it infringes on others’ rights before downloading it to avoid losses (such as causing damage to the computer system or loss of stored data) and TPEx shall not be liable for compensation for such losses.
7. Information or transmission:

Online transactions on TPEx and your personal data are protected through standard encryption technology (256-bit encryption) and secure transmission methods in the industry and data is pre-encrypted before being transmitted over the internet, to prevent data from being intercepted and misappropriated. TPEx does not guarantee the accuracy of the information or suggestions you obtain from using the online store or through other websites linked to the online store. You shall evaluate and be responsible for the consequences of using such information or suggestions. If you suffer any damage or profits lost, TPEx shall not be liable for any damages.

8. Protection of intellectual property rights:

You shall be obliged to observe intellectual property rights. All software, programs, or contents used on the online store (including but not limited to works, pictures, files, information, materials and website contents and design) are intellectual property rights owned by TPEx or obligees in accordance with the law. No one may use, modify, reproduce, publicly broadcast, adapt, distribute, release, publish, restore, dissemble or reverse assemble the said contents without the prior written consent of TPEx or obligees. If you wish to quote or reproduce the aforementioned software, program or website content, you shall obtain the prior written consent of TPEx in accordance with the law and ensure the integrity of the data without arbitrary additions or deletions. If there is any violation, you shall be liable to TPEx for damages (including but not limited to litigation costs and attorney fees).

9. Disclaimer:

The online store aims to provide you with the information you need and the best services as a reference for your investment or research and does not guarantee the accuracy and completeness thereof. If any damage or loss is caused by incorrect or omitted information, TPEx shall not be held liable. Whether to download or obtain any information from the online store shall be decided by you at your own risk. TPEx shall not be liable for any damage to your computer system or loss of data due to the downloading of any information (including any damage suffered or profits lost) and you shall assume full responsibility.

10. Delivery:

Notices sent to you by TPEx based on your information retained by TPEx or as stipulated in the Terms will be deemed to have been delivered to you. In the event of any dispute, the information retained by TPEx shall prevail.

11. Modification:

TPEx has the right to modify or change the contents of the Terms at any time. If you continue to use the online store after any modification or change, you will be deemed to have read, understood and agreed to accept such modification or change.

   12.Governing law and jurisdiction:

1. The terms shall be governed by the laws of the Republic of China. If any provision of the agreement is deemed invalid or unenforceable by the competent authority or court, the other provisions will remain in effect and will not be affected.
2. Any disagreement or dispute arising out of or in connection with the subscription shall be resolved in good faith. If it is necessary to file a lawsuit, the parties agree to take Taiwan Taipei District Court as the competent court of first instance.
3. The Chinese version of the Terms shall prevail. In the event of any discrepancy or conflict between the Chinese and the English versions, the Chinese version shall prevail.
